Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Cure ADHD Ltd, trading as AxonCPT ("AxonCPT", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and accounts
The Service is intended exclusively for licensed healthcare professionals ("HCPs", "you") for use in clinical practice. You confirm that:
- You are a licensed or registered healthcare professional acting within the scope of your professional registration
- You are at least 18 years of age
- The information you provide on registration is accurate and complete
- You will keep your credentials confidential and notify us immediately of any unauthorised access
One account per person; sharing accounts is not permitted.
2. The Service
AxonCPT is a software platform that enables HCPs to send a Continuous Performance Test (CPT) to their patients, receive cohort-stratified objective measurement results, and track those results over time.
Important clinical disclaimer: AxonCPT is an objective measurement and tracking tool. It is not a diagnostic device. It does not diagnose ADHD or any other condition, does not provide medical advice, and is not a substitute for clinical judgement. All decisions about diagnosis, treatment, prescribing, or referral remain entirely the professional responsibility of the HCP. AxonCPT supplements clinical assessment; it does not replace it.
3. Acceptable use
You agree not to:
- Use the Service for any purpose other than legitimate clinical assessment
- Send assessments to anyone who has not given informed consent for the test and for sharing their results with you
- Attempt to reverse-engineer, decompile, or scrape the Service
- Interfere with the Service's security, integrity, or availability
- Use the Service to violate any law or regulation, including data-protection law
- Resell or sublicense access to the Service without our written consent
4. Patient data and your obligations as a clinician
You enter and control patient data on the platform. You confirm that, before sending any patient an assessment, you have:
- Obtained the patient's informed consent (or appropriate consent from a parent or guardian where the patient is a minor)
- A lawful basis for collecting and processing the patient's data, in accordance with applicable data-protection law
- Provided the patient with appropriate information about how their data will be used
For the purposes of UK and EU data-protection law, you are the data controller of patient data and we are the data processor. Our obligations as processor are set out in our Privacy Policy.
5. Pricing, billing, and refunds
Current pricing is published at axoncpt.com. We may change pricing on notice; existing subscriptions are unaffected for the remainder of the paid period.
- Test packs (one-off): charged at the time of purchase. Tests added to your account do not expire and are non-transferable.
- Unlimited subscription: billed monthly in advance. Cancel any time from the billing portal; access continues until the end of the paid period.
- Free monthly top-up: a small allowance of free tests is added on the 1st of each month for accounts in good standing.
Refunds: If you are a UK consumer, you may be entitled to a 14-day cooling-off period under the Consumer Contracts Regulations. Outside that, we offer refunds at our discretion: subscriptions are refundable pro-rata if no tests have been used; one-off packs are refundable in full only if no tests from the pack have been used. Email support@axoncpt.com with refund requests.
Failure to pay may result in suspension or termination of access. You are responsible for keeping payment details current.
6. Intellectual property
We own all intellectual property in the Service, including the platform, the scoring methodology, the normative data, and all associated materials. You retain ownership of your patient data. We grant you a non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
7. Confidentiality
You agree to keep patient data confidential and to handle it in accordance with applicable law (including UK GDPR, the Data Protection Act 2018, and where applicable HIPAA). You are responsible for ensuring that anyone you allow to access your account is similarly bound.
8. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of vulnerabilities, or that test results will be free of all error.
Specifically, we make no representation that AxonCPT is suitable for use in any particular clinical context. Your use of the Service in your professional practice is at your sole professional judgement and risk.
9. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Service is limited to the greater of (a) £100 or (b) the amount you have paid us in the twelve months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or loss of goodwill.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence or for fraud.
10. Indemnity
You agree to indemnify and hold harmless AxonCPT, its officers, employees, and agents against any claim, loss, or damage arising from (a) your use of the Service in breach of these Terms, (b) your handling of patient data, or (c) any clinical decision you make in reliance on, or related to, AxonCPT results.
11. Termination
You may close your account at any time by emailing support@axoncpt.com. We may suspend or terminate your access if you breach these Terms, fail to pay, or for legal or safety reasons. On termination, your data will be retained or deleted in accordance with our Privacy Policy.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and inside the Service before they take effect. Continued use of the Service after notice constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, save that we may seek injunctive relief in any competent court.
